1. Introduction

By accessing or using the services provided by VOLTAK, you ("Client" or "Customer") agree to the following Terms and Conditions. VOLTAK is a Türkiye-based company operating globally. These terms govern the relationship between VOLTAK and the Client and apply to all contracts, transactions, and business activities unless otherwise agreed upon in writing.

2. Scope of Services

VOLTAK provides electrical engineering services, including design, development, testing, and implementation of electrical systems. All services are subject to availability and technical feasibility. Any specific agreements or contracts will outline the details of the project scope, timelines, and deliverables.

3. Pricing and Payments

• All prices for services and products will be provided in a written offer or contract.
• Prices exclude VAT and any other applicable taxes unless explicitly stated.
• Payments are due within the agreed timeframe outlined in the contract.
• In the case of late payments, interest may be charged according to the local Turkish law or the law applicable in the customer's country.

4. Global Projects and Compliance

• VOLTAK operates globally and adheres to local regulations and international standards applicable to each project.
• The Client is responsible for providing all necessary permits, permissions, or licenses required by local laws for the execution of services in their jurisdiction.
• VOLTAK reserves the right to withdraw from a project if legal or regulatory issues arise that prevent the delivery of services.

5. Delivery and Execution

• VOLTAK will execute projects in accordance with the timeline agreed upon with the Client. Delays caused by force majeure, including but not limited to natural disasters, political instability, or pandemic-related restrictions, will result in a reasonable extension of deadlines.
• The Client must provide access to the site or necessary locations for VOLTAK to carry out its work. Failure to do so may result in project delays or termination.

6. Liability and Warranty

• VOLTAK guarantees that its products and services comply with industry standards and are free from material defects for a specified period.
• In the event of defects, VOLTAK will repair or replace the faulty equipment or services within a reasonable period.
• VOLTAK's liability is limited to the direct damages arising from its performance and does not cover indirect or consequential damages, including but not limited to loss of profit or data.

7. Intellectual Property

• All intellectual property rights relating to the services, designs, and systems developed by VOLTAK remain the exclusive property of VOLTAK unless otherwise agreed in writing.
• The Client is granted a non-exclusive, non-transferable license to use the deliverables strictly for the purposes outlined in the contract.

8. Termination

• Either party may terminate the contract in the event of a material breach of these Terms and Conditions or any related contracts.
• VOLTAK reserves the right to terminate the contract if the Client fails to provide necessary information or payments required for project completion.

9. Governing Law and Jurisdiction

• These Terms and Conditions are governed by the laws of the Republic of Türkiye.
• Any disputes arising under or in connection with this agreement will be resolved through arbitration in Istanbul, Türkiye, in accordance with Turkish arbitration laws. For international projects, both parties may agree to an international arbitration center.

10. Confidentiality

• Both parties agree to maintain the confidentiality of all information exchanged during the course of the project.
• Confidential information shall not be disclosed to any third parties without prior written consent unless required by law.

11. Force Majeure

• VOLTAK shall not be held responsible for delays or failure to perform due to circumstances beyond its control, including but not limited to acts of nature, wars, strikes, or legal restrictions.

12. Amendments

• VOLTAK reserves the right to modify these Terms and Conditions at any time. The updated Terms and Conditions will be communicated to the Client and will apply to all ongoing and future projects.
